Pillar 4 of 5

Transferability

Can the product and the capabilities required to sustain and develop it transfer effectively without unacceptable dependency on particular individuals?

Assess whether the product, the knowledge needed to operate and develop it, and the product-critical people and capabilities around it can transfer effectively through a change of ownership without creating material continuity risk.

This pillar is lighter touch to identify weaknesses that could undermine the product story or create avoidable concern in diligence.

This is one of five connected pillars used to assess a digital product’s readiness for buyer scrutiny.

How this pillar is examined

4.1

Product Transferability

Assess whether the knowledge, systems, context and operational understanding required to run and continue developing the product can be effectively transferred to another owner or team.

A product may be technically sound but still be difficult to acquire if critical product knowledge, decisions, workflows or operational context are inaccessible or concentrated in individuals. Transferability provides confidence that the product can continue to operate and evolve after ownership changes.

4.2

Team Transferability

Assess whether the people and capabilities directly required to sustain and develop the product can continue effectively through a transition, including where there is material dependency on particular individuals or risk that critical product capability could be lost.

An acquisition can disrupt product continuity if essential product, engineering, design, technical or domain capability depends on a small number of people who may not remain or whose responsibilities cannot be handed over. Understanding these dependencies helps reveal whether the product can continue without unacceptable key-person risk.
