Pillar 5 · Focus area 2 of 2

Rights & Commitments

Assess whether the company appears to have the rights needed to own, use and transfer the product, and whether licences or product-related commitments create any obvious constraints that should be addressed or referred before diligence.

This focus area belongs to the Coppice Labs Audit for digital-product exit readiness. It sits within Foundational Readiness, Pillar 5 of 5.

Why it matters

Unclear ownership, missing assignments, problematic licences or unusual product commitments can become significant issues once diligence begins. Surfacing them beforehand allows the company to clarify, document or remediate what it can and seek specialist advice where necessary.

The conclusion we need

Determine whether the company has a sufficiently complete and evidenced account of the rights needed to own, use and transfer its material product assets, and whether third-party terms, customer commitments, public claims or applicable specialist obligations reveal any obvious product constraint, evidence gap or referral need before a raise or exit.

What we examine

The questions we will answer

  1. Does the company have documented rights to own, use and transfer all material product assets?
  2. Do material third-party licences and supplier terms permit the product's current commercial use and a foreseeable raise or exit?
  3. What material product-related commitments and claims has the company made, and can the product and evidence support them?
